These Terms constitute a legally binding agreement between you (“you” or “your”) and EQUALAM ("EQUALAM," "we," "our," or "us"). The Terms govern your purchase of EAM tokens during the presale via the EQUALAM website or associated platforms ("VENDBOUT"). By engaging in the EAM presale, accessing the Platform, or using the EAM tokens, you agree that you have read, understood, and accepted these Terms, together with any additional documents or terms referenced herein, including the EQUALAM Whitepaper. You acknowledge and agree that you will be bound by and will comply with these Terms, as updated and amended from time to time. If you do not understand and accept these Terms in their entirety, you should not proceed with the presale purchase of EAM.

1.1. Utility Token Status: EQUALAM (EAM) is a utility token designed to function within the Vendbout ecosystem. EAM is the first cryptocurrency that directly represents and quantifies productive human time.

1.2. Non-Investment/Non-Security Status: EQUALAM (EAM) is intended to operate as a utility-based digital asset, not a speculative security, financial product, or investment.

Disclaimer: EQUALAM (EAM) is a utility token within the Vendbout ecosystem. It is not an investment inside the company for any equity or any kind of share. The buyer who purchases EAM will be the owner of the token purchased alone and nothing else related to EQUALAM, the company, or the associated company Vendbout.

1.3. Presale Purpose: The presales are conducted to bootstrap ecosystem liquidity and technological expansion, directing all proceeds toward infrastructure development, ecosystem growth, and platform stability.

2.1. Token Name and Network: The token name is EQUALAM, with the symbol EAM. It is deployed as an ERC-20 smart contract on the Polygon Mainnet.

2.2. Purchase Price and Currency:

• The purchase price is fixed at 5 POL per 1 EAM for now & any increase of price will be the sole discretion of the company or our team till the presale is officially listed with liquidity in Dex.

• The native transaction token for EAM on the Polygon Mainnet is POL (Polygon's native token).

• Purchases can also be made using fiat currency equivalent to the price per 1 EAM, facilitated via Vendbout's verified merchants and gateways (where applicable and as described in the Whitepaper).
  

2.3. Buyer-Paid Minting Model:

• The EAM smart contract is deployed under a Buyer-Paid Minting Model.
• When a buyer initiates a purchase by calling the buy() function, they send POL equivalent to the number of tokens they wish to acquire.
  
• Tokens are then automatically transferred from the owner to the buyer's wallet.
  
• The buyer is responsible for paying all applicable network transaction fees (gas fees) associated with the minting/transfer of EAM tokens.
• This model ensures self-sustained liquidity and that every EAM in circulation represents an equal exchange of value.
  

2.4. Purchase Instructions:

• You must call the designated buy() function on the EAM smart contract and send the appropriate amount of POL.
  
• Any excess POL sent will be refunded automatically.
  
• All POL received is held within the contract or the multisig safe operated by the equalam team for transparent treasury management.

3.1. General Risk: As with any experimental protocol and digital asset, the value of EAM can fluctuate, and there is a material risk of economic loss. You should therefore consider whether purchasing and holding EAM is suitable for you in light of your financial circumstances and risk tolerance.

3.2. Due Diligence: You should conduct your own due diligence and consult your financial advisor before making a decision to buy or hold EAM. EQUALAM does not provide investment or consulting advice of any kind.

3.3. No Fiduciary Relationship: EQUALAM is not your broker, intermediary, agent, or advisor, and we have no fiduciary relationship or obligation to you in connection with any presale activity.

3.4. No Refunds: Refunds will not be provided under any circumstances due to the nature of blockchain transactions and the buyer-paid minting model. All sales are final.

3.5. Limitation of Liability: If any legal action occurs under any applicable law, the maximum of the compensation that can be provided shall be limited to the lesser of:

1. The market value of the total amount of EAM that you have purchased.
2. The amount you have spent on EQUALAM or Vendbout in any medium. This limitation of liability applies regardless of the cause of action, including but not limited to, breach of contract, negligence, or any other legal or equitable theory.

4.1. Eligibility: By purchasing EAM, you affirm that you are an individual or entity with the full power, authority, and capacity to enter into and comply with your obligations under these Terms.

4.2. Regulatory Compliance: You must not be a resident or citizen of any jurisdiction where it would be illegal under Applicable Law for you to access or use the EAM presale or cause us or any third party to contravene any Applicable Law. EQUALAM adheres to Anti-money laundering (AML) and Know-Your-Customer (KYC) compliance for fiat interactions and transparent public blockchain verification.
